The Commerce Commission has filed court proceedings against First Gas Limited.
It's accused of anti-competitive conduct in acquiring the Bay of Plenty assets of GasNet Limited, in 2016.
First Gas says it accepts the Commission's view the move was likely to reduce competition.
It says not applying for clearance was an oversight, and the firm will pay any financial penalty deemed appropriate.
